Definitions 
In these conditions the following words or phrases shall have the following meanings: 

“ Client ” The person with whom the Company is contracting
“ Company ” Thanet Leaflet Distribution
“ Conditions ” the Company ’s standard terms and conditions herein after set out 
“ Distribution Area ” The area in which distribution is to take place as set out prior to distribution 
“ Price ” The contract price as specified by Company 
“ Start Date ” and “ Finish Date ” as specified prior to distribution 
“ Stock ” items for distribution 

1. All quotations contracts and work undertaken by the Company are on and subject to the Conditions.
2. No order submitted by the Client shall be deemed accepted by the Company until stock is received with full payment by the Company
3.1 The Company will endeavour to carry out delivery of stock between the Start Date and Finish Date but the Company reserves the right to vary both the method and time of delivery at is discretion. Without limitation to the foregoing the Company shall not be liable for any delays in distribution and/or non distribution caused by circumstances beyond the Company’s control.
3.2 The Company will endeavour to make distribution to as many residential addresses in the Distribution Area as reasonably possible.
3.3 The Company however shall not be liable for failing to distribute to any particular household or address nor for failure to achieve any delivery objective targets. 

Supply of Stock
4.1 Stock must be supplied by the Client in secured and/or bound containers identifying clearly on the exterior of each container the number and identity of items of Stock contained. 
4.2 The customer’s leaflets must be boxed in units of 500, 1,000 or multiples of 1,000. 
The Company shall be entitled to inspect any items to ensure that they comply with all terms and conditions.
4.3 The Company cannot accept responsibility for variances in supply due to packaging errors (i.e. quantities within boxes) or errors which occur due to inaccurate delivery notes, but will endeavour to advise the customer when significant variances arising from such errors are identified. In the event of a delay or error in the quantity of items supplied, distribution will be carried out at the earliest subsequent opportunity. 
4.4 An agreed time between the Client and the Company shall be set for stock to be dropped at our HQ by either the Client or their Printers. 
If the Client does not deliver the stock at the allocated time and fails to contact the Company in advance then the Company reserve the right to cancel this and any future distributions with immediate effect. 
4.5 The Company reserves the right to dispose of any surplus stock that is supplied by the Client outside of the agreed amount prior to distribution commencing.

5.1 The Company reserves the right to refuse to carry out distribution of Stock at its absolute discretion if it considers it to be obscene, unlawful, dangerous, hazardous or otherwise unsuitable for distribution in which event the Client shall indemnify the Company against any claim loss cost, liability expense or demand incurred by the Company. 
5.2 The Client shall indemnify the Company from and against all liability arising out of the form and/or content of the Stock. It is the responsibility of the Client to ensure that the Stock does not breach any legal requirement and complies with all proper requirements.

Payment Terms & Cancellation 
6.1 The Client shall pay the Company the Price in full at least five full working days prior to the Start Date unless credit has been offered (this is usually 7 days) 
6.2 The Company shall be entitled to withdraw a quotation at any time. 
6.3 The Company shall be entitled to refuse credit and to conduct business with any Client that persists in the late payment of invoices 
6.4 Written notice of at least seven days (prior to the beginning of the distribution week) must be given for any cancellation or alternation to the distribution arrangements.
6.5 In the event of a cancellation of less than seven days, the customer will pay a cancellation fee of 50% of the total cost of the distribution to the Company 
6.6 An invoice will be sent to the client for the amount. Payment is expected from the client within 7 days on the basis that Thanet Leaflet Distribution will provide a service and payment must not be withheld subject to the level of response or number of enquiries received as a result of distribution. The company reserve the right to postpone  future distributions until the client's account is settled.

6.7 In the event of the Client failing to pay an invoice within the maximum timescale of 30 days, the Company reserve the right to pass outstanding invoices to a Collection Agency for recovery. Under the Late Payment Act this will allow debt recovery costs plus any late payment interest owed to be added to the original invoice total  

 

COMPLAINTS

7 1. All complaints must be notified to the company within seven days of the relevant distribution date(s) in order to enable a more thorough investigation to take place.

Such complaints should be accompanied with supporting evidence to uphold such complaint.

7.2 In the event of a complaint of non-distribution the company will, upon receipt of the details of the properties or the area in question, investigate the complaint and depending upon the results of such investigation will reimburse the customer that proportion of the order price as is equal to the proportion of the order found not to have been delivered.

RISK

8. All Stock shall be at the risk of the Client at all times and the Client shall be responsible for insuring the Stock at all times both before and after delivery to or as directed by the Company.

General
9.1 Time shall not be of the essence unless otherwise agreed in writing by the Company and the Client.
9.2 The Company shall act as an independent contractor and not as an agent of the Client.
9.3 These Conditions shall be governed by and interpreted in accordance with English Law and the parties submit to the jurisdiction of the English Courts
